IAFL Constitution
1. NAME:
The Association shall be called the Irish American Football League (IAFL).
2. MAIN OBJECT:
To assist and promote the growth and development of Senior Kitted American Football within the island of Ireland.
3) AFFILIATION:
3.1. The IAFL reserves the right to affiliate to a Governing Body of American Football in Ireland, subject to a vote of the membership.
3.2. The IAFL will entertain applications for membership from any Club which agrees to be bound by the Constitution and By-Laws of the IAFL and which is properly constituted and functioning as defined and provided for in the By-Laws.
4. MANAGEMENT:
4.1. Day to day management of the IAFL shall be carried out by an Executive Board (hereinafter referred to as The Board) consisting of a Chairman, Commissioner, Secretary and Treasurer and one other member.
4.2. The Board shall be elected each year at the AGM.
4.3. No more than one (1) member of any club may be elected to The Board.
4.4. The Board can assign individuals to carry out specific tasks. These individuals shall be responsible to The Board and shall have no vote.
4.5. The Board shall be answerable to the combined membership and shall report to the membership at quarterly meetings.
4.6 The Board shall inform the membership of the position and the responsibilities of each elected Board member as soon as practicable.
4.7 The membership has the right to specify which categories of decisions must be referred to the membership.
5. MEMBERSHIP
Membership shall be open to all clubs in Ireland which intend to participate in playing American football, whose playing members meet the requirements as defined in the By-Laws.
6. DUTIES OF THE BOARD:
6.1. To liaise in matters of dispute between IAFL and any affiliated Associations.
6.2. To arbitrate in matters of discipline between individual players and/or Clubs.
6.3. To organize the League fixtures for the forthcoming season.
6.4. To negotiate with the Officials to determine a suitable agreement fee for the forthcoming season and as provided for in the By-Laws.
6.5. To ensure that the Insurance Policy premiums are maintained at a competitive rate.
6.6. Represent the IAFL to other bodies.
6.7. Appointment of a Disciplinary Committee.
6.8. Administration of the league in accordance with the Constitution and Bu-Laws.
7) MEETINGS:
7.1. There shall be at least four quarterly meetings each year at which all clubs are expected to attend and at which the Board shall report on its activities. The meeting in the Fourth Quarter shall be the AGM.
7.2. Clubs shall be given notice in writing at least 4 weeks before the AGM and 2 weeks before each quarterly meeting.
7.3. Full Member Clubs will be entitled to one vote per Club.
7.4. Associate Member Clubs will be entitled to one vote shared amongst them.
7.5. A Quorum shall be 50%+1 of those entitled to vote. There shall be no proxies.
7.6. In order to constitute a legal meeting, there must be a Quorum present and the Chairman must also be present, (or other designated Board member in his absence). The Chairman shall be the presiding officer for the entire meeting and shall have a casting vote.
7.7. The requirements for any meeting shall be the same as those for an AGM.
7.8. An EGM can be called at any time at the written request of two voting members or by a majority of the Board.
8 ) ANNUAL GENERAL MEETING:
8.1. The order of Business at meeting shall be as follows:
a) Roll Call and Apologies.
b) Minutes of previous meeting (If AGM, minutes of previous AGM).
c) Communications and Correspondence.
d) Management Reports.
e) Election and Installation of new Board (AGM/EGM only).
f) Matters Arising.
g) New Business/Agenda Items.
h) Any Other Business.
i) Date and Venue of next meeting.
9. AMENDING THE CONSTITUTION:
9.1. Constitutional changes can only be instrumented by an AGM or by an EGM specially convened for that purpose.
9.2. A two-thirds majority of all those entitled to vote at any AGM or EGM (Convened for that purpose) shall be required to amend any Article of the Constitution.
9.3. Notice of proposed Constitutional amendments must be communicated to the Board and each Member Club, in writing, at least 4 weeks before the AGM.
9.4. Changes to the Constitution cannot be brought up under Any Other Business at the AGM.
10. CHANGING THE BY-LAWS:
10.1. By-Laws can be adopted by the Board as required however all changes or additions to the By-Laws must be ratified at the next quarterly meeting. Ratification is by simple majority.
10.2. By-Law changes which have the effect of giving a competitive advantage or disadvantage to any club shall not be enacted during the course of the playing season without the consent of every participating club.
11. WINDING UP:
11.1 If upon the winding up or dissolution of the IAFL, there remains after the satisfaction of all debts and liabilities, any property whatsoever, the same shall not be paid to or distributed among the members of the organization but shall be given or transferred to some other charitable institution or institutions having main objects similar to the main object(s) of the IAFL and which shall prohibit the distribution of its or their income and property among its or their members to an extent at least as great as imposed on the organization under or by virtue of Clause 12 hereof, such institution or institutions to be determined by the members of the organization at or before the time of dissolution, and if and so far as effect cannot be given to such provision, then to some charitable object.
12. INCOME AND PROPERTY:
12.1 The income and property of the IAFL shall be applied solely towards the promotion of its main object(s) as set forth in this Constitution. No portion of the IAFLs income and property shall be paid or transferred directly or indirectly by way of dividend, bonus or otherwise howsoever by way of profit to the members of the organization. No Board member shall be appointed to any office of the organization paid by salary or fees, or receive any remuneration or other benefit in money or money’s worth from the organization. However, nothing shall prevent any payment in good faith by the organization of:
(a) reasonable and proper remuneration to any member, officer or servant of the organization (not being a Board member) for any services rendered to the organization,
(b) interest at a rate not exceeding 5% per annum on money lent by Board members or other members of the IAFL to the IAFL,
(c) reasonable and proper rent for premises demised and let by any member of the IAFL (including any Board member) to the IAFL,
(d) reasonable and proper out of pocket expenses incurred by any Board member in connection with attendance to any matter affecting the IAFL,
(e) fees, remuneration or other benefits in money’s worth to any Company of which a Board member may be a member holding not more that one hundredth part of the issued capital of such Company.
13. ADDITIONS, ALTERATIONS OR AMENDMENTS:
13.1. No addition, alteration or amendment shall be made to or in the provisions of this Constitution for the time being in force unless the same shall have been previously approved in writing by the Revenue Commissioners.
14. KEEPING ACCOUNTS:
14.1 Annual audited accounts shall be kept and made available to the Revenue Commissioners on request.
